Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Averow, an AI agent platform operated by Riverso Ventures Inc. (“Averow”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Averow provides an AI agent platform that allows you to configure, deploy, and operate autonomous AI agents (“Agents”) to perform tasks on your behalf. The platform is built on OpenClaw, an autonomous agent runtime that enables Agents to take real-world actions including browsing the web, reading and sending messages, interacting with third-party services, and executing scheduled tasks.

Agents are designed to operate continuously and autonomously based on the skills, instructions, and integrations you configure. The actions taken by your Agent are initiated through your account and constitute actions taken on your behalf.

3. Autonomous AI — Risks and Acknowledgments

You acknowledge and understand that Averow uses autonomous artificial intelligence technology. By using the Service, you explicitly accept the following risks:

  • Autonomous actions. Your Agent may take real-world actions — including submitting forms, sending messages, updating records, and interacting with third-party services — without explicit per-action approval from you. These actions are based on your configuration, and you bear responsibility for the consequences of any action your Agent takes.
  • AI errors and hallucinations. AI models may produce incorrect, incomplete, or misleading outputs. Your Agent may misinterpret instructions, make incorrect inferences, or take unintended actions. Averow does not warrant that Agent outputs or actions will be accurate, complete, or appropriate for your purposes.
  • Prompt injection. Malicious actors may embed instructions within content that your Agent reads — including web pages, emails, documents, and messages — in an attempt to manipulate your Agent’s behaviour. While Averow implements defences against prompt injection, no defence is complete. Averow is not liable for actions taken by your Agent as a result of prompt injection attacks.
  • Data corruption and loss. Agent actions — including writes to CRMs, databases, and third-party services — may result in the corruption, overwriting, or loss of data. Averow is not liable for any data corruption, data loss, or unintended data modification caused by Agent actions, AI errors, or system failures.
  • Third-party services. Your Agent may interact with third-party platforms through the credentials and integrations you provide. Averow does not control those platforms and is not responsible for actions taken on them by your Agent.

4. User Responsibilities

You are solely responsible for:

  • Configuring your Agent appropriately, including the skills, instructions, and boundaries you define.
  • Reviewing Agent activity logs and monitoring your Agent’s behaviour on an ongoing basis.
  • Maintaining the security of any credentials, API keys, or tokens you provide to the Service.
  • Ensuring your use of the Service complies with all applicable laws and the terms of any third-party services your Agent accesses.
  • Maintaining independent backups of any data that your Agent reads, writes, or interacts with.
  • Promptly disabling or reconfiguring your Agent if you observe unintended behaviour.

5. Credentials and Data Security

Averow encrypts credentials (API keys, tokens, passwords) stored within the platform at rest using industry-standard encryption. However, no system is completely secure. You acknowledge that:

  • Security breaches, cyberattacks, and unauthorized access are risks inherent to any internet-connected service.
  • Averow is not liable for any unauthorized access to, disclosure of, or misuse of your credentials or data resulting from a security breach, provided Averow has implemented reasonable security measures.
  • You should use credentials with the minimum required permissions for your Agent’s intended tasks.
  • You should rotate any credentials you believe may have been compromised immediately and notify Averow at hello@averow.com.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Riverso Ventures Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, data corruption, business interruption, or loss of goodwill.
  • Riverso Ventures Inc. shall not be liable for damages arising from: (a) autonomous actions taken by your Agent; (b) AI errors, hallucinations, or misinterpretations; (c) prompt injection attacks; (d) security breaches or unauthorized access; (e) actions taken on third-party platforms; or (f) your failure to monitor or configure your Agent appropriately.
  • Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. Riverso Ventures Inc. expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property or privacy rights of any third party.
  • Send unsolicited commercial messages (spam) at scale.
  • Access systems or data without authorization.
  • Deliberately weaponize your Agent against individuals or organizations.
  • Circumvent rate limits, access controls, or security measures of any platform.
  • Engage in activity that disrupts, damages, or impairs the Service or its infrastructure.

We reserve the right to suspend or terminate accounts that violate these provisions without notice.

9. Accounts and Termination

You are responsible for maintaining the confidentiality of your account credentials. You may delete your account at any time. We reserve the right to suspend or terminate your account for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your Agent will be deprovisioned and your data will be deleted in accordance with our Privacy Policy.

10. Intellectual Property

Averow and its underlying technology, including the OpenClaw runtime, are owned by Riverso Ventures Inc. and protected by intellectual property law. You retain ownership of your data, configurations, and any content you create. By using the Service, you grant us a limited licence to process your data solely to operate and improve the Service.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or within the product. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
